Overview

Joanne Saunders is an energy development attorney with experience in project development and debt financing for renewable facilities, as well as managing complex product liability litigation and tax credit litigation. Her expertise includes drafting and negotiating a wide range of commercial agreements for integrated renewable energy projects, such as power purchase agreements, long-term commercial leases, waste supply (feedstock) agreements, fuel supply agreements, design-build agreements, multimillion-dollar manufacturing and equipment sales agreements, licensing agreements, and engineering, procurement contractor agreements.

Joanne also has broad experience in forming corporations and limited liability companies, advising on corporate governance and employment issues, and providing business start-up counsel for a variety of businesses, including manufacturers and software developers.

Before joining Stoel Rives, Joanne owned and operated a boutique law firm and was general counsel and corporate counsel of Anaergia Inc., a developer of waste-to-energy facilities.

  • Represented a global developer in connection with the development of a design-build-own-operation of the largest waste-to-energy facility in North America ($180 million).
  • Represented a developer for a Resource Recovery Facility to finance, design, construct, own, operate and maintain an integrated waste-to-energy facility to produce energy, fuel, recycled materials and other products.
  • Represented a developer for a Resource Recovery Facility ($44 million) in California for the sale of 4.5–6.0 MW of power while considering tax credit implications.
  • Represented a developer for the design-build-operation of an anaerobic digestion and CHP facility ($18 million), including the sale of equipment and operations and maintenance of those facilities in New Jersey.
