Overview

Caroline Sung represents clients in mergers and acquisitions, the development and financing of renewable energy projects, and corporate governance matters.

Previously, Caroline was a summer associate with Stoel Rives, a student lead in a pro bono program to aid small businesses impacted by COVID-19, and an intern with the Anti-Defamation League.

During law school, Caroline served as the chair of diversity and inclusion for the Washington Law Review, where she worked closely with editors and her committee to bring diverse voices to the forefront of the publication. In addition, Caroline was actively involved with the Asian/Pacific American Law Student Association (APALSA) as the vice president of professional development, where she worked to connect students to attorneys in the Seattle area.

  • Represented the sole member of a software company in their sale and equity rollover of membership interests to a technology company.
  • Represented the shareholder of a real estate brokerage in the sale of their stock to a real estate company.
  • Represented a commercial and industrial solar market project developer and financier in its various acquisitions and concurrent divestitures of photovoltaic solar power generation facilities and battery storage projects located in various states across the country.
  • Represented a renewable energy company in its acquisition of seven solar and battery storage projects located in Michigan, Mississippi, and Arkansas.
  • Represented a renewable energy developer in its acquisition of two photovoltaic solar power generation facilities located in California.

Corporate Governance

  • Provides counsel to sole shareholder of a Washington corporation related to corporate restructuring.
  • Provides counsel to U.S. subsidiary of a large Japanese corporation related to its ownership and development of home-building businesses in Texas and Washington.
  • Provides counsel to commercial and industrial solar market project developer related to entity formation and entity maintenance.
  • Provides counsel to various clients in connection with the Corporate Transparency Act regulations and related filings.

Financing

  • Represented a sponsor and its affiliates in their $437 million sale-leaseback financing transaction for repowering of wind turbines.
  • Represented a lender in connection with combined debt and tax equity financing of battery energy storage facilities.
