Overview
Andrea Canfield advises private companies, including large conglomerates, such as Alaska Native Corporations (ANCs), in mergers, acquisitions, and other strategic corporate transactions. Her transactional experience includes debt financing, equity financing, restructurings, investments, and the acquisition and disposition of assets and businesses. Andrea has extensive experience advising companies in a broad range of industries, including natural resources, manufacturing, consumer products, and health care. Andrea also counsels business owners in corporate governance.
Andrea is a member of the firm’s ad hoc Corporate Pro Bono Committee, Culture Committee, and the Stoel Rives Women Attorneys Group.

- Represented an Alaska-based comprehensive behavioral health provider in its divestiture.
- Represented an Alaska-based software company in equity financing.
- Represents startups, emerging growth companies, and investors in connection with business formation, founders’ issues, and financing.
- Represented Afognak Native Corporation, an Alaska Native Corporation, in its acquisition of the largest retailer of liquor, wine and beer in Alaska, Liquor Stores USA North Inc., d/b/a Brown Jug, a Nevada corporation.
- Represented Chugach Alaska Corporation, an Alaska Native Corporation, in its acquisition of REX Electric & Technologies, LLC, a Chicago-based company that provides electrical and technology services to general contractors.
- Represented Cook Inlet Region, Inc., an Alaska Native Corporation, as transaction and finance counsel in its acquisition of an Idaho-based engineering and environmental remediation company, Portage, Inc., and its subsidiaries.
- Represented an Alaska Native Corporation in obtaining a $300 million syndicated credit facility used in part to refinance its senior secured notes and other existing indebtedness.
- Represented Idaho-based Rule Steel Tanks, Inc., in its sale of its Diamond Z business to Screen Machine Industries, LLC.
- Represented Koniag Development Corporation, an Alaska Native Corporation, in the acquisition of Glacier Services, Inc., a company that provides software services to oil companies.
- Represented an Alaska communications company in its acquisition of an IT solutions company.
- Represented an Alaska Native corporation in its sale of a general civil construction company and its affiliates.
- Represented an Alaska Native corporation in its 1031 sale and acquisition of Anchorage commercial real property.
- Represented shareholders in the sale of their interest in a power and communication line construction company to a publicly held engineering, procurement and construction service provider.
- Represented Atlantic Tele-Network, Inc. in its acquisition of the assets of Green Lake Capital, LLC, an owner of commercial solar power systems.
