Overview

Adam Witt is a member of Stoel Rives’ Real Estate group. Adam’s practice focuses on real estate transactions and on drafting and negotiating construction contracts. Adam is skilled in drafting and negotiating a wide range of agreements and, if needed, resolving construction and business disputes. Adam also has experience guiding clients on business formation, operation, governance, and commercial transactions. He works with real estate developers, general contractors, subcontractors, and large and small business owners, investors, and lenders, among others.

Before joining Stoel Rives, Adam headed the real estate and transactional department for a prominent firm in San Diego.  While in law school, he was an extern with Justice Richard D. Huffman of the California Court of Appeal, Fourth District, Division One.

Experience

  • Handled the disposition of a medical office building in Riverside County valued at $23 million.
  • Represented buyer in acquisitions of $18 million and $21 million office buildings in Orange County.
  • Represented developer in connection with varied and complicated real estate transactions relating to quick-service restaurants and retail shopping centers.
  • Handled the sale of a medical office building in San Diego County valued at $26 million.
  • Draft and negotiate commercial leases on behalf of landlords and tenants, including ground, office, medical, retail, restaurant, gas station, EV charging station, and warehouse/industrial.
  • Prepare and negotiate letters of intent and purchase agreements, including multifamily, mixed-use, office, vacant land, and retail properties.
  • Evaluate property documents and title reports to advise clients regarding risks and impacts.
  • Analyze and negotiate construction, permanent, and private financing documents on behalf of borrowers and contractors.
  • Draft and negotiate construction contracts, subcontracts, and design professional agreements for use on large-scale commercial construction projects, including hotels, office buildings, medical facilities, labs, multifamily high rises, townhome developments, and public works projects.
  • Prepared subcontract templates for one of the largest construction service providers in the nation.
  • Advise owners, developers, and contractors regarding construction issues and resolutions.
