Shannon Bleicher Provides Suggestions for Drafting Effective Mining Services Agreements

In an article in North American Mining, natural resource attorney Shannon Bleicher outlines some common provisions parties to a mining project should consider for inclusion in mining service agreements. These agreements are used at any stage in a project to procure essential goods and services to support the project.
Though the temptation exists to rely on a standard form of a service agreement, the circumstances at a given stage of a mining project may warrant tailoring a service agreement by including or omitting specific provisions. Bleicher lists some requirements parties can include in an agreement:
- Term—a fixed limit to the time allowed for the parties to accomplish the agreement’s purpose, which can help parties avoid taking on additional or unnecessary liability.
- Termination—a means through which one or both parties may terminate the agreement, without breaching the agreement.
- Dispute resolution—the option of settling a dispute through mediation or arbitration instead of litigation.
